Terms and Conditions

Introduction

We, PT FM Digital Solution ("Service Provider"), a limited liability company established under the laws of the Republic of Indonesia, act as the First Party in these Terms and Conditions ("T&C"). Users of our services are considered as the Second Party. Together, both parties are referred to as "The Parties" and each as "Party".

Scope of Terms and Conditions

These T&C govern the rights and obligations of The Parties in relation to the use of services, including Digital Payment Initiation, biller services, and other digital services. These T&C cannot be separated from the Main Agreement, unless explicitly stated.

Changes to Terms and Conditions

The Service Provider reserves the right to make changes, additions, or reductions to these T&C with written notice at least seven (7) calendar days before implementation. The Second Party has the right to terminate the Agreement during this notice period. Non-acceptance of changes after this period is considered as acceptance.

Definitions

The Parties agree to use the terms in this Agreement as listed below:

  • "Agreement" The agreement made by The Parties in relation to the Services provided by the First Party to the Second Party
  • "Acquirer" Bank(s) and/or non-bank institutions appointed by the Merchant to process payments for each Transaction made by Customers
  • "API" Application Programming Interface, a set of subroutine definitions, protocols and tools for building software and application interfaces, provided by the First Party and can be used by the Second Party to access Services
  • "Fraud" An act of misuse by third parties against Customer data or transactions conducted on the Merchant's website and/or application
  • "Invoice" A credit or debit instruction to withdraw funds from an account owned by the Customer or Merchant with a bank or other financial institution in connection with a transaction between the Merchant and the Second Party
  • "Service Fee" Fees that must be paid by the Merchant to the Service Provider related to services including but not limited to Payment Channels used by the Merchant as agreed by The Parties
  • "Merchant ID (MID)" Identifier given by the Service Provider and/or Acquirer to the Merchant for each url registered on the Website by the Merchant in the Service Provider's system
  • "Merchant Application Form" Application form that must be filled out and signed by the Merchant which regulates the Service Fees agreed upon by The Parties
  • "Merchant Discount Rate (MDR)" Fees charged by the Service Provider and/or Acquirer related to Payment Channels used by the Merchant
  • "Direct Merchant" Internet Payment Initiation service used by the Merchant, but in this case the Merchant has their own MID which is obtained directly from the Acquirer after the Merchant cooperates in a separate agreement with the Acquirer
  • "Payment Channel" Electronic-based payment methods and/or other media provided by the Service Provider to facilitate Merchant's Customers in conducting Transactions as agreed by The Parties
  • "Customer" Any person who conducts Transactions on the Merchant's Website and/or Application
  • "Product" Goods and/or services, offered/sold by the Merchant to Customers on the Merchant's Website and/or Application
  • "Reconciliation" Comparison and/or adjustment of Transaction data belonging to the Service Provider and Merchant in case of differences in Transaction data owned by each Party
  • "Settlement" The process of transferring funds for special Aggregator Service Transactions carried out by the Service Provider to the Merchant according to the time agreed upon by The Parties
  • "Transaction" Product purchase activities carried out by Customers through the Merchant's Website and/or Application

The Service Provider provides the following services:

  • Digital Payment Initiation
  • Biller Services
  • Additional Digital Services

Note: Resolution times may change if the cause originates from external parties not under the Service Provider's control.

Service Fees

  • Service Fees are regulated in the Agreement or price appendix
  • The Service Provider is entitled to MDR deductions, other fees, and escrow fees (if applicable)
  • Merchant must provide written instructions for changes to fund transfer destination accounts

Verification and e-KYB

Merchant must undergo identity verification and e-KYB processes according to applicable regulations and Service Provider policies.

Merchant Obligations

Merchant agrees to:

  • Provide true, valid, and accountable data and documents during the registration process
  • Follow verification and e-KYB processes according to internal policies and applicable regulations
  • Use Services only for legal business activities in accordance with Merchant's business permits
  • Maintain security of account access and Merchant transaction data
  • Take full responsibility for transactions occurring through their account and system

Service Provider Rights and Authority

The Service Provider has the right to:

  • Not approve Merchant registration if there are technical, administrative considerations, or compliance with internal policies and applicable legal provisions
  • Conduct periodic reviews of Merchant activities and suspend or terminate Services if indications of law violations, misuse, or risks to the national payment system are found
  • Adjust Service features, fee structures, or system integration schemes based on internal policies or regulatory changes

Business Restrictions and Changes

  • Merchant must notify the Service Provider at least 14 calendar days before changes in IP/domain or business type
  • The Service Provider has the right to unilaterally terminate the Agreement if Merchant conducts business that violates legal norms

Confidential Information and Customer Data

  • The Service Provider maintains confidentiality of all Merchant information and personal data in accordance with provisions Law No. 27 of 2022 concerning Personal Data Protection (PDP Law)
  • Merchant agrees that data can be accessed, processed, and stored by the Service Provider for Service provision purposes

Prohibited Activities

Services may not be used, either directly or indirectly, for transactions related to illegal activities, including but not limited to:

  • Online gambling and all forms of betting, whether licensed abroad or without Indonesian authority permission
  • Trade and distribution of alcoholic beverages
  • Transactions related to narcotics, psychotropics, and other addictive substances
  • Funding and/or trading of firearms, sharp weapons, explosives, and other dangerous goods
  • Money laundering and terrorism financing
  • Transactions related to prostitution, sexual exploitation, and human trafficking
  • Trading of human organs
  • Unlicensed cryptocurrency and digital asset transactions
  • Transactions related to products and services that violate Intellectual Property Rights (IPR), including sale of counterfeit goods, software piracy, and other illegal products
  • Other illegal activities regulated by statutory provisions

Fraud Prevention and Handling

  • The Second Party must immediately report in writing to the Service Provider if they know, suspect, or receive information about actions or plans that could potentially harm the Service Provider, either directly or indirectly, related to service use
  • The Second Party must provide accurate and accountable information, and cooperate in the investigation process, including providing documents or data requested by the Service Provider
  • The Second Party is strictly prohibited from using services for illegal activities, including but not limited to money laundering, terrorism financing, system manipulation, data falsification, and other legal violations
  • If there is a violation of these provisions, the Service Provider has the right to:
    • Service suspension or termination
    • Unilateral agreement termination without compensation
    • Legal action and compensation claims
    • Reporting to relevant authorities (including Bank Indonesia, OJK, PPATK, or law enforcement)
  • If fraudulent actions are carried out by the Second Party or parties related to them, then the Second Party is fully responsible for all losses, including material, reputational, and legal losses experienced by the Service Provider

Taxation

Each Party bears their own taxes according to statutory provisions, unless otherwise agreed in writing.

Changes and Validity of Terms and Conditions

  • In the event of changes to Service names related to the contents of this Agreement and T&C, the Service Provider will send a notification letter to the Merchant regarding this matter, and such notification letter shall also become an integral part of this Agreement and T&C
  • If any part of this Agreement and T&C is invalid and/or unenforceable, such condition does not automatically void this Agreement and T&C and will only invalidate that specific invalid and/or unenforceable part
  • This Agreement and T&C bind and are for the benefit of each Party, and/or successors of rights and obligations of each Party

Rights Assignment and Delay

  • Merchant cannot transfer their rights and obligations to third parties without written consent from the Service Provider
  • Delay or lateness in exercising rights by either party cannot be considered as a waiver of such rights

19

Declarations and Consent

By continuing the registration process, Merchant declares:

  • That they act on behalf of and/or with valid authority from the business entity (if applicable)
  • Have read and agreed to all provisions in these T&C
  • That the Service Provider may make process adjustments and/or terminate cooperation in accordance with applicable provisions if violations by the Merchant are found
